These conditions of sale ("Conditions of Sale") govern the sale of each lot (a "Lot") to be offered by theSolomon R. Guggenheim Foundation (the “Guggenheim") for sale during the Guggenheim’sCONTEMPLATING THE VOID: INTERVENTIONS IN THE GUGGENHEIM MUSEUM online fundraisingAuction (the "Auction") to be held from March 4, 2010 to March 18, 2010. By bidding at the Auction, youagree to be bound by these Conditions of Sale. All Lots are on view at the Solomon R.Guggenheim Museum (the “Guggenheim Museum”) from February 12, 2010 to April 28, 2010. Prospectivebidders are encouraged to examine the Lots and are responsible for satisfying themselves concerning thecondition of the Lots. Prospective bidders acknowledge they had the opportunity to inspect the property orhave chosen not to. Each Lot is sold "AS IS AND WITH ALL FAULTS." 2. Accuracy of Information Posted Online. The Guggenheim has posted information about the Lots online(“Lot Information”). While the Guggenheim has endeavored in good faith to provide the most accurateinformation about the Lots possible, it does not guarantee, and shall not be liable for, the accuracy of theLot Information, including the precise dimensions or exact media of the artworks. No posted statementonline, in the invoice or elsewhere shall be deemed a representation or warranty or any assumption ofliability.
3. Installation and Handling. Due to the informal, collaborative style of the CONTEMPLATING THEVOID: INTERVENTIONS IN THE GUGGENHEIM MUSEUM exhibition (the “Exhibition”), theGuggenheim is not hanging the works according to its usual standards. All works will show signs ofhandling from installation and may have other evidence of wear and tear from installation and handling.Please note that all Lots are sold "AS IS AND WITH ALL FAULTS", including those that are a directresult of the installation of the works in the Exhibition.
4. Minimums. Bidding for each Lot shall begin at a minimum price below which the Lot will not be sold.
5. Purchase. At the close of bidding for each Lot, the highest bidder (the "Purchaser") will be notified byCharity Buzz, Inc. (“charitybuzz”) of their successful purchase of the Lot, subject to all of the conditions setforth herein.
6. Pick-Up, Delivery and Taxes
(a) It is the responsibility of the Purchaser to either (i) collect their Lot from the Guggenheim Museumbetween Friday, April 30 and Sunday, May 2, 2010, or (ii) consent to having the Lot shipped as set forthbelow. For Lots being picked up at the Guggenheim Museum, charitybuzz will contact Purchaser to arrangefor pick-up at the Guggenheim Museum.
(b) If any Lot has not been picked up after seven days, it will be shipped to the Purchaser at the shippingaddress provided to charitybuzz at Purchaser’s sole expense. Purchaser hereby authorizes the Guggenheimand charitybuzz to charge the additional amounts required to ship the works to Purchaser’s credit card andacknowledges that all terms in Section 6(c) below will apply.
(c) In the event a Purchaser prefers to have a Lot shipped to them, Purchaser acknowledges that the Lotswill be shipped via common carrier (e.g. Federal Express) and the Lots will not be shipped until after theclose of the Exhibition on April 28, 2010.In the event delivery is not possible for any reason, the transfer of the Lot shall be void and theGuggenheim shall retain all fees paid to it by Purchaser.
(d) In the unlikely event a Lot is destroyed during the course of the Exhibition, the Guggenheim willreimburse the purchase price to the Purchaser. Purchaser agrees that the limit of the Guggenheim’s liabilityshall not exceed the total purchase price plus any Packing and Handling Fee paid by the Purchaser.
7. Right of Withdrawal. The Guggenheim may withdraw any Lot from the Auction without liability at anytime before the final sale.
8. Fair Market Value. Purchaser acknowledges and agrees that Purchaser’s Auction payment qualifies as atax-deductible donation to the Guggenheim only to the extent that it exceeds the fair market value of theitem purchased. The estimates provided in the Lot Information are not warranted in any way by theGuggenheim for tax purposes, fair market value or otherwise. Purchasers are advised to consult with theiraccountants, legal or tax advisors regarding the deductibility of purchases and any other tax questions.
9. Documentation and Disclosure; Additional Conditions of the Artist. Purchaser acknowledges and agreesthat the Guggenheim may provide documentation to the artist who created the Lot or such artist's heirs orrepresentatives, including Purchaser's name, contact information, and the purchase price. Purchaser furtheracknowledges that the purchase of the Lot may be subject to additional conditions placed on the Lot by theartist, which conditions will be disclosed in the “Terms” section of the Lot Information.
10. Eligibility to Bid. The Auction will be open to anyone, including staff and trustees of the Guggenheimbidding for their own account.
11. Choice of Law, Venue and Jurisdiction. These Conditions of Sale, as well as the Purchaser's and theGuggenheim 's respective rights and obligations hereunder, shall be governed by, and construed andenforced in accordance with, the laws of New York State without regard to principles of conflicts of laws.By bidding at the Auction, Purchaser shall be deemed to have consented to the exclusive jurisdiction of thecourts of New York, with respect to any case, controversy, suit, action or proceeding between Purchaserand the Guggenheim arising out of, or in connection with, or related to the Auction, a bid, or theseConditions of Sale; any such action shall be brought in any Federal or State Court located in New YorkCounty and the State of New York, and the Purchaser hereby waives any objection that he or she may haveto personal jurisdiction in these courts.
12. Lots donated for Resale. Each Lot to be sold at the Auction has been donated to the Guggenheim forresale for fundraising purposes. Purchasers acknowledge and agree that they will not make anyrepresentation to any third party that the Lot was obtained from the collection of the Guggenheim.
13. Guggenheim Terms Govern. Bidders acknowledge that they are also bound by all of the terms andconditions set forth by charitybuzz. To the extent any of the Guggenheim’s terms and conditions conflictwith any terms and conditions of charitybuzz, the Guggenheim’s terms and conditions shall govern.
14. Transfer of Title. Transfer of title to the applicable Lots will not occur until payment has been received in full from the Purchaser.

Your bid is a contract
All bids placed on the charitybuzz® Auctions website are legally binding. If you are the successful bidder, you will enter into a legal contract to purchase the item and will be considered the buyer of the lot.
How to Bid
Steps to take before you place a bid:
- If you haven't already, register for an account.
- Browse the website for items of interest.
- Once you have clicked into the lot description page, the "Place a Bid" box will appear on your right.
- You must be logged into charitybuzz.com in order to bid. You will see the Current Bid and the Minimum Next Bid. To bid this amount, simply click the "Bid Now" button. A "Confirm Your Bid" box will appear confirming the Bid Price. If okay, hit Confirm. From here you can Return to Auction, check Your Active Lots, or Log-Out.
- Due to the charitable nature of this auction, charitybuzz® has waived all buyer's premiums, commissions and fees.
- If you have been Outbid, you have the opportunity to continue bidding. You will also be notified by email.
- Overtime or "Popcorn" Bidding: Bids placed within 10 minutes prior to a lot's scheduled closing time will extend the closing time on that lot an additional 10 minutes. All lots will close when there have been no bids placed within the last remaining 10 minutes.

Overtime Bid
Why did the auction closing time extend by 10 minutes after I placed my bid? This is called "Popcorn" Bidding: Bids placed within 10 minutes prior to a lot's scheduled closing time will extend the closing time on that lot an additional 10 minutes. This gives all bidders an opportunity to place a competing bid. All lots will close when there have been no bids placed within the last remaining 10 minutes.
Max Bid
Max bidding allows you to bid the maximum amount you wish to bid for an auction lot. Your maximum bid won't be displayed to other bidders, but will be displayed as the current bid based on the bidding increment. The following example illustrates max bidding:
- Auction Lot 1000 has a current bid of $0. The minimum bid is $250.
- Juan places and confirms a maximum bid of $500. Juan's bid is displayed as $250.
- Sally places a bid of $300 and is notified that the bid was not accepted because it did not exceed the maximum bid.
- Juan's next bid is automatically increased to the next bidding increment of $350.
- If no other bids are placed, Juan is the winner at $350.
- If Juan's $500 max bid is overtaken by another bidder, he will receive an outbid notice.

liveBID
What does liveBID mean in the auction title and description?
In addition to an online auction, charities frequently conduct live galas and feature a live auction at the event. For the auction lots that are included in the online auction and the live auction, we note them with "liveBID" in the lot description, and we close the online bidding the day of the live auction. We contact the highest bidders on those liveBID lots by phone to see if the bidders want us to continue bidding on their behalf at the live auction.
In addition, a live gala may also include a silent auction. In these cases, charitybuzz bidders can bid online for silent auction items along with the guests at the event. These items remain open online until they close at the event. Winning bidders will be notified via email when credit card charges are processed. Please note that silent auction items do not support the Max Bid feature. The amount you bid will be registered as the next bid regardless of increment, so please bid carefully.

ReserveBID
ReserveBID is a way for donors/charities to ensure that items do not sell below their value. Some items will start at a lower opening bid price to encourage bidding; however items that display "ReserveBID not met" below the current bid are not obligated to be sold to the highest bidder. Bidding must surpass the set reserve price in order to sell; therefore once "ReserveBID not met" disappears, the item is valid for sale at the current bid posted. Reserve prices are confidential and will not be revealed to bidders.
